EZYON VENDOR TERMS AND CONDITIONS

Welcome to EZYON, an online multivendor marketplace. These Terms and Conditions (“T&C”) govern your use of our platform as a seller or vendor. By registering and operating as a vendor on EZYON, you agree to abide by these T&C, which are legally binding. EZYON reserves the right to modify or update these terms at any time without prior notice. Your continued use of the platform constitutes acceptance of any modifications.

1. DEFINITIONS

  • “EZYON” refers to the online multivendor marketplace operated by EZYON.
  • “Vendor/Seller” refers to any individual or business entity selling products or services on the EZYON platform.
  • “Buyer” refers to any customer purchasing products or services from vendors on EZYON.
  • “Platform” refers to the EZYON website and mobile application.
  • “Strike Policy” refers to the disciplinary measures enforced by EZYON for vendor violations.
  • “Funds Withholding” refers to any revenue or payment held by EZYON related to vendor transactions.

2. VENDOR OBLIGATIONS

By registering as a vendor on EZYON, you agree to:

  • Provide accurate, up-to-date business details and documentation.
  • List only legally compliant, high-quality, and accurately described products/services.
  • Ensure timely order fulfillment, including processing, shipping, and delivery.
  • Maintain ethical business practices, including fair pricing and truthful advertising.
  • Respond promptly to buyer inquiries and resolve disputes professionally.
  • Abide by EZYON’s policies and any applicable local and international laws.

3. STRIKE POLICY & TERMINATION

EZYON enforces a two-strike policy to maintain the integrity of the marketplace:

3.1 Strike Issuance Criteria

A vendor may receive a strike for the following violations:

  • Fraudulent Transactions (e.g., selling counterfeit goods, unauthorised sales)
  • Failure to Fulfill Orders (e.g., repeated delays, cancellations without valid reason)
  • Misrepresentation (e.g., false advertising, incorrect product descriptions)
  • Poor Customer Service (e.g., excessive complaints, lack of response to buyers)
  • Policy Breaches (e.g., violating EZYON’s content guidelines, legal violations)

3.2 Strike Consequences

  • First Strike: Vendor is notified, and their account is monitored for six months.
  • Second Strike: Vendor’s business on EZYON is permanently shut down.
  • Funds Withholding: Upon receiving two strikes, ANY and all funds held by EZYON in relation to the vendor will be withheld, and the vendor will have NO CLAIM to these funds.
  • Strike Rescission: If a vendor receives one strike but operates without further violations for six months, the strike is rescinded, and the vendor’s account is restored to a clean status.

4. BUYER CLAIM REQUIREMENTS

To ensure fairness to vendors, ANY buyer making a claim against a vendor must provide video evidence supporting their complaint. Without such evidence, EZYON will not hold the vendor accountable, and no penalties will be imposed.

5. PAYMENT TERMS

  • Vendors receive payments after a successful transaction, subject to EZYON’s withdrawal schedule.
  • EZYON reserves the right to hold payments for dispute resolution and fraud investigations.
  • If a vendor is terminated due to two strikes, any funds held by EZYON will not be refunded.

6. PLATFORM MODIFICATIONS & POLICY UPDATES

EZYON reserves the right to modify, update, or remove any aspect of the platform or these T&C at any time. Vendors will be notified of significant changes but must review policies regularly to remain compliant.

7. ACCOUNT TERMINATION & DISPUTE RESOLUTION

  • Vendors may voluntarily close their accounts but must fulfill any outstanding orders.
  • EZYON reserves the right to terminate accounts without notice for severe violations.
  • Disputes will be resolved through EZYON’s internal resolution system before legal action.
